The Role of the Trustees

Cox Green School Academy Trust is both a charitable company and an academy trust. As such, its Trustees serve as both charity trustees (under Section 177(1) of the Charities Act 2011) and company directors. Because they have responsibilities under both charity and company law, the terms Trustees and Directors are often used interchangeably.

The Board of Trustees is responsible for the overall governance, strategic leadership and effective management of the Academy Trust. In accordance with the Trust's Articles of Association and Funding Agreement, the Board is legally accountable for all statutory responsibilities, the performance of the Trust, and ensuring that appropriate systems of governance, financial oversight and internal control are in place. This includes approving and maintaining a robust Scheme of Delegated Financial Authority.

The Board's work is centred around three core governance functions:

  • Setting the strategic direction by establishing the Trust's vision, ethos and long-term priorities.
  • Holding senior leaders to account for the educational performance of the school, the achievement and wellbeing of its students, and the effective performance management of staff.
  • Overseeing financial performance to ensure that public funds are managed responsibly, deliver value for money, and support the Trust's strategic objectives.

The Board comprises Trustees who are elected by parents and staff, together with Trustees appointed by the Members of Cox Green School Academy Trust, in accordance with the Trust's Articles of Association.

While the Board retains overall responsibility for governance, much of its detailed work is undertaken through specialist committees, which report back to the full Board. Each committee meets at least three times each academic year.
